Terms of Service


The following document outlines the Terms of Service of the ConferenceCloud website. Before using any of the ConferenceCloud services, you are required to read, understand, and agree to these terms. The column on the right provides a short explanation of the terms of use and is not legally binding.


ABOUT THE TERMS


THE “SITE”, “USERS” AND THE “TERMS”

ConferenceCloud Inc. (“ConferenceCloud”, “we”, “us” and terms of similar meaning) provides the (i) ConferenceCloud Platform at http://www.conferencecloud.co (“CC Platform”); (ii) the mobile versions of the CC Platform; (iii) any other web or mobile applications that we have now or in the future; and (iv) any other software provided by ConferenceCloud for use with the CC Platform or otherwise; altogether referred to as the “Site”, to you subject to these terms of service (these “Terms”). In these Terms we describe users of the Site, whether registered or not,as “Users”.

By using the Site, you agree to these Terms.

The services we provide through the Site are for your own use only. You may not resell, lease or provide them in any other way to anyone else.

WHAT THIS MEANS,

What’s considered the “Site”, “Users”, and the “Terms” is described in this paragraph.

MODIFYING TERMS

ConferenceCloud reserves the right to change or modify any of the terms and conditions contained in these Terms, or any policy or guideline of the Site, at any time and in its sole discretion, with or without notice. If you do not agree with the changes, you can cancel your user account (“User Account”) with us or stop using the Site without further obligation. Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revisions on the Site, and your continued use of the Site after such time will constitute your acceptance of such changes or modifications.

WHAT THIS MEANS,

These Terms may be modified at any time with or without notice.

REVIEWING TERMS

You should from time to time review the Terms and any policies and documents incorporated in them to understand the terms and conditions that apply to your use of the Site. The Terms will always show the ‘last updated’ date at the top. If you do not agree to any amended Terms, you must stop using the Site. If you have any questions about the Terms, please email us at the contact address below.

You should review these Terms periodically. If you don’t agree with them, you should stop using the Site.

INTERPRETATION OF TERMS

All issues and questions concerning the construction, validity, interpretation, and enforceability of the Program, or the rights and obligations of any User in connection with the Program, shall be governed by, and construed pursuant to the sole discretion of ConferenceCloud.

WHAT THIS MEANS,

The Terms are to be interpreted and construed by ConferenceCloud.

PRIVACY POLICY


PRIVACY POLICY

ConferenceCloud’s Privacy Policy (available at www.conferencecloud.co/privacy ) (the “Privacy Policy”) describes how ConferenceCloud collects, uses and discloses personally identifiable information from Users of the Site. The Privacy Policy is expressly incorporated into these Terms. By using the Site, you agree to the Privacy Policy.

USER ACCOUNTS


TYPES OF USERS

You can use the Site as a (i) Individual Non-Registered User; (ii) Individual Registered User; and (iii) Conference Organizer (all of which are considered to be “Users”). Individual Non-Registered Users and Individual Registered Users are together considered to be “Individual Users.”

INDIVIDUAL USERS

All Individual Users must be a natural person and 18 years of age or older.

TERMS FOR REGISTERED USERS

By becoming a Individual Registered User or Conference Organizer (both of which are considered to be “Registered Users”), you agree that you are bound by these Terms and agree to be subject to both present and future Terms, conditions, procedures and regulations.

WHAT THIS MEANS,

Registered Users must agree to terms that are relevant to them.

USER ACCOUNTS

In order use the Site as a Registered User, you must register for a User Account, which shall be subject to an approval process after registration. The information you provide to us when enrolling and/or using the CC Platform may be processed outside of Canada or United States of America.

WHAT THIS MEANS,

Registered Users must have a User Account, which is subject to several rules.

THIRD PARTY SINGLE SIGN-ON

User Accounts can be created by using a third party single sign-on service, such as ‘Sign in with Google’, ‘Sign in with Twitter, or ‘Sign in with LinkedIn’. In these cases, Users authorize ConferenceCloud to obtain all required information from such third party. Although such Users are using a third party single sign-on service, they are still creating a User Account.

EMAIL VERIFICATION

Upon creating a User Account, Users will receive an email asking for email verification. Unless you verify your email, your User Account will be deactivated.

USER ACCOUNT RESPONSIBILITIES

If you register for a User Account on the Site, you agree to:
  1. Provide accurate information when prompted to during the registration process (“Registration Data”);
  2. Always provide and maintain a valid email address in your Registration Data;
  3. Keep your Password safe;
  4. Update your Registration Data as soon as it changes;
  5. Accept all risks of unauthorized access to your Registration Data or any other information you provide to the Site;
  6. Be responsible for all activity linked to your User Account;
  7. Use your User Account only for yourself. You agree not to share your User Account with anyone else.

USER ACCOUNT APPROVAL PROCESS

User Accounts are approved in ConferenceCloud’s sole discretion, and may be withdrawn at any time in ConferenceCloud’s sole discretion with or without notification.

FORGOTTEN PASSWORD

If you forget your Password, you will be directed to a password recovery page where you can recover your password by entering the email address associated with your User Account.

TERMINATING USER ACCOUNT

A Registered User may terminate their User Account at any time through the Site or by contacting ConferenceCloud at hello@conferencecloud.co ConferenceCloud reserves the right to retain User Account information, including the User’s Registration Data, for a reasonable period of time before deleting such information. A User who terminates their User Account may reactivate their account within 60 days.

THE CC PLATFORM


WHERE THE CC PLATFORM IS VOID

The CC Platform is void where prohibited by law.

OVERVIEW OF THE CC PLATFORM

The CC Platform is a virtual attendance platform for conferences that allows Attendees to view both Live-Stream and On-Demand video footage of Conferences (“Conference Events”). Conference Events are created by Conference Organizers. Conference Events are presented to Users to browse on the CC Platform via Conference Event Profiles.

CONFERENCE EVENTS

Open Conference Events are Conference Events that can be viewed by all Users. Closed Conference Events are Conference Events that can only be viewed by Individual Registered Users who have registered for the Conference Event. In either case, Conference Events are either Live-Stream or On-Demand.

BECOMING A VIRTUAL ATTENDEE

When Users view an Open Conference Event, they become Non-Registered Attendees. When Individual Registered Users register for a Closed Conference Event, they become Registered Attendees. Both Non-Registered Attendees and Registered Attendees are considered to be Virtual Attendees.

PROPER EQUIPMENT REQUIRED FOR VIRTUAL ATTENDEE

Hardware: In order to successfully view a Conference Event, you must have a current computer or tablet with a minimum of 1 GB of RAM, a dual core 2Ghz processor, and a screen size of 1280x800. You acknowledge that mobile phones are not supported. Browser: You also need a modern browser, such as Chrome, Firefox, etc., is required to properly view the Conference Event. Safari is currently not supported due to lack of Flash support required for the Live-Stream of the video content. Data: You require a minimum of 2Mb/s internet data connection. If a lesser quality connection is used, a lower quality video stream will be provided.
Browser: You also need a modern browser, such as Chrome, Firefox, etc., is required to properly view the Conference Event. Safari is currently not supported due to lack of Flash support required for the Live-Stream of the video content.
Data: You require a minimum of 2Mb/s internet data connection. If a lesser quality connection is used, a lower quality video stream will be provided.

WHAT THIS MEANS,

You need the right equipment to use the CC Platform.

CONFERENCECLOUD'S ROLE

Virtual Attendees acknowledge that ConferenceCloud is simply a third-party service provider to enable Conference Organizers to offer Conference Events on a virtual platform.

WHAT THIS MEANS,

ConferenceCloud is simply a service provider for Conference Organizers.

CONFERENCE ORGANIZER'S GOODS AND SERVICES

It is the Conference Organizer, and not ConferenceCloud, that is solely responsible for fulfilling their obligations owed by them to Users. The Conference Organizer is the offeror of the Conference Event and any other goods and services and is responsible for the Conference Event and all goods and services it provides to you and for any and all injuries, illnesses, damages claims, liabilities and costs (“Liabilities”) it may cause you to suffer, directly or indirectly, in full or in part, whether related to a Conference Event or not. You waive and release ConferenceCloud and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any Liabilities arising from or related to any act or omission of a Conference Organizer in connection with your use of a services/goods it provides in connection with it.

WHAT THIS MEANS,

It is the Conference Organizer, and not ConferenceCloud, that is solely responsible for fulfilling the obligations owed by them to other Users.

NO REPRESENTATIONS AND WARRANTIES OF CONFERENCE ORGANIZERS AND CONFERENCE EVENTS

ConferenceCloud makes no representation or warranty regarding the information provided by Conference Organizer about a Conference Event listed on the Site. You acknowledge that ConferenceCloud has no control over the Conference Organizers and their Conference Events and have no way of verifying the accuracy of the information they provide. You waive and release ConferenceCloud and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any Liabilities arising from or related to any act or omission of a Conference Organizer in connection with your use of the Site.

WHAT THIS MEANS,

We do not and cannot verify any information provided by Conference Organizers about Conference Events that are listed on the Site.

NO REPRESENTATIONS OR WARRANTIES FOR ANY CONFERENCE EVENT OFFERED BY CONFERENCE ORGANIZERS

Users acknowledge that ConferenceCloud has no control over the content, presentation, goods or services provided by the Conference Organizers for each Conference Event. You waive and release ConferenceCloud and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any Liabilities arising from or related to any content, presentation, goods or services provided by Conference Organizers.

WHAT THIS MEANS,

We are not responsible for anything that Conference Organizers provide or fail to provide during the Conference Event.

AGREEING TO CONFERENCE ORGANIZER'S CONTRACT

Users acknowledge Conference Events are offered in accordance with each Conference Organizer’s own terms of service, including but not limited to, refund policies, terms, privacy policies etc. Before registering for a Conference Event, Users shall make themselves familiar with that Conference Organizer’s policies, rules, terms and regulations.

WHAT THIS MEANS,

When you register for a Conference Event, you automatically agree to the Conference Organizer’s contract and other relevant terms that may be part of the Conference Event.

CONFERENCE EVENT FEES

Conference Event Fees are in the Conference Organizer’s sole discretion, and may vary across Conference Events and Conference Organizers. Users acknowledge that ConferenceCloud does not have control over how the Conference Organizer sets their fees.

PAYMENT FOR CONFERENCE EVENTS

The Site offers Users the ability to pay the Conference Event Fee (“Payment Service”).

For Live Conference Events, Users acknowledge that payment to Conference Organizers is processed through the Conference Organizer’s payment provider, which may vary across different Conference Organizers. Users acknowledge that ConferenceCloud is simply provided with the API key for the Conference Organizer’s payment provider widget and has no access to any of the payments that are processed. For On-Demand Conference Events, Users acknowledge that ConferenceCloud uses third-party service providers for payment processing such as Stripe, Paypal, Eventbrite, etc. You waive and release ConferenceCloud and its subsidiaries, affiliates, partners, officers directors, employees and agents from any Liabilities arising from or related to any act or omission of a User in connection with your use of the Payment Service.

WHAT THIS MEANS,

The Site’s Payment Service is via third-party services. Use at your own risk.

CONFERENCE CANCELLATIONS

Users acknowledge that Conference Organizers have the ability and sole discretion to cancel their Conference Event at any point in time before the Conference Event occurs. Conference Users acknowledge that ConferenceCloud has no control over what Conference Events are cancelled. You waive and release ConferenceCloud and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any Liabilities arising from or related to any cancellation of a Conference Event by a Conference Organizer.

WHAT THIS MEANS,

Users must be okay with the fact that Conference Events may be cancelled.

REFUNDS RELATING TO CONFERENCE ORGANIZER’S GOODS & SERVICES

Virtual Attendees acknowledge that ConferenceCloud is simply a third-party service provider to enable Conference Organizers to offer Conference Events on a virtual platform. Any Virtual Attendee requesting a refund for any reason including a refund for a cancelled Conference Event, dissatisfaction with a Conference Event, etc. must pursue such request through the Conference Organizer, and not ConferenceCloud. You acknowledge that it is possible that the Conference Organizer may simply have a no-refund policy.

WHAT THIS MEANS,

You must pursue Conference Organizer for refund requests.

TAXES

Users are solely responsible for any tax consequences which may flow from their use of the CC Platform. Conference Organizers who collect tax as a part of Conference Event Fees are responsible for remitting this tax to the appropriate government authority.

UNACCEPTABLE USE

  1. In a way prohibited by law, regulation, governmental order or decree;
  2. To violate the rights of others;
  3. In a way that could harm the CC Platform or impair anyone else’s use of it;
  4. In a way that it is not intended to be used;
  5. To reverse engineer, decompile or disassemble the CC Platform;
  6. To figure out how the CC Platform API works; and
  7. To download video content using methods other than methods provided by the CC Platform.

WHAT THIS MEANS,

There are some things you just can’t do.

ABUSING THE PLATFORM

If in ConferenceCloud’s sole opinion, a User abuses any of the CC Platform’s privileges, fails to follow any of its terms and conditions, or makes any misrepresentation to ConferenceCloud or to other Users, ConferenceCloud may, in its sole discretion, revoke the User’s User Account, with or without notification.

In the event that ConferenceCloud has a reasonable belief that a User Account has been compromised or used to commit fraud, crimes or abuse of the CC Platform, ConferenceCloud reserves the right to suspend or block any pending activity on the User Account, and to disable or terminate that User Account, and ConferenceCloud reserves the right to take appropriate administrative and/or legal action.

WHAT THIS MEANS,

If any User abuses the Platform, ConferenceCloud can revoke the User’s User Account.

CC PLATFORM RULES

ConferenceCloud in its sole discretion, may change the CC Platform, aspects of the CC Platform and CC Platform Rules from time to time, with or without notice. ConferenceCloud has the sole discretion to interpret and apply the CC Platform Rules.

WHAT THIS MEANS,

ConferenceCloud may modify the CC Platform rules at any time.

LIMITATION OF LIABILITY REGARDING THE CC PLATFORM

Users agree that ConferenceCloud and each of its’ respective agents, representatives, parent companies, affiliates, subsidiaries, and legal advisors, and each of its respective employees, shareholders, officers, and directors are not responsible or liable for, and shall be released and held harmless from:
  1. Late, lost, delayed, damaged, misdirected or otherwise, electronic correspondence;
  2. Any condition caused by events beyond the control of ConferenceCloud that may cause the CC Platform to be disrupted or otherwise;
  3. Any printing, human, typographical or other errors or ambiguities in or involving any online or printed materials associated with the CC Platform;
  4. Any and all losses, damages, rights, claims, and action of any kind in connection with or resulting from registering, enrolling, or participating in the CC Platform whether as a Conference Organizer or Individual User.

COPYRIGHT & TRADEMARKS


MEANING OF "CONTENT"

In these Terms the content on the Site, including all information, data, logos, marks, designs, graphics, pictures, sound files, other files, and their selection and arrangement, is called “Content”.

COPYRIGHT OWNED BY USER

Content provided by Users in their use of the Site or otherwise, is called “User Content”. User Content is that User’s property.

Content provided by Users shall be licensed to ConferenceCloud by such User. Such license from User to ConferenceCloud shall be limited, revocable, non-exclusive, and only to be used for the purpose of providing the content to Users via the CC Platform.

WHAT THIS MEANS,

Users own the content they create.

COPYRIGHT AND TRADE-MARKS OWNED BY CONFERENCECLOUD

Other than the User Content, the Site, all Content and all software available on the Site or used to create and operate the Site is the property of ConferenceCloud or its licensors, and is protected by Canadian and international copyright laws, and all rights to the Site, such Content and such software are expressly reserved.

Other than the User Content, the Site, the ConferenceCloud logo and all other product or service names, slogans or logos displayed on the Site are registered and/or common law trademarks of ConferenceCloud and/or its licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of ConferenceCloud or the applicable trademark holder. In addition, the look and feel of the Site, including all page headers, button icons, custom graphics and scripts may not be imitated, used or copied in whole or in part, without the prior written permission of ConferenceCloud.

Any copying, posting, transmitting, distributing, linking, deep linking, or otherwise modifying of this site without the express written permission of ConferenceCloud is strictly prohibited. Any violation of this policy may result in a copyright, trademark or other intellectual property right infringement that may subject User to civil and /or criminal penalties.

WHAT THIS MEANS,

ConferenceCloud owns the content it creates.

TRADE-MARKS OF CONFERENCE ORGANIZERS AND THIRD-PARTIES

All other trade-marks, company names, product names and logos mentioned on the Site are the property of their respective owners. Reference to any product, service, process or other information, by trade name, trademark, supplier, manufacturer or otherwise does not constitute or imply sponsorship, endorsement or recommendation thereof by ConferenceCloud.

WHAT THIS MEANS,

Trade-marks of Conference Organizers and other third parties are owned by their respective owners.

OUR LIMITED LICENSE OF CONTENT TO YOU

ConferenceCloud grants you a limited, revocable, non-exclusive, non-sublicensable license to access the Site and to view the portions of the Content available to you on the Site. Such license is subject to these Terms, and specifically conditioned upon the following:
  1. you may only view such portions of the Content for your own use;
  2. you may not modify or otherwise make derivative works of the Site or the Content, or reproduce, copy, print, distribute or display the Site or any Content (except for page caching) except as expressly permitted in these Terms;
  3. you may not remove or modify any copyright, trademark, or other proprietary notices that have been placed in the Content;
  4. you may not use any data mining, robots or similar data gathering or extraction methods; and
  5. you may not use the Site or the Content other than for its intended purpose
Except as expressly permitted above, any use of any portion of the Content without the prior written permission of its owner is strictly prohibited and will terminate the license granted in this Section, this Agreement and your User Account with us. Any such unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws. Unless explicitly stated herein, nothing in these Terms may be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. The license in this Section is revocable by ConferenceCloud at any time.

You represent and warrant that your use of the Site and the Content will be consistent with this license and will not infringe or violate the rights of any other party or breach any contract or legal duty to any other parties, or violate any applicable law.

To request permission for uses of Content not included in this license, you may contact ConferenceCloud at the email address set out at the bottom of these Terms.

WHAT THIS MEANS,

ConferenceCloud is giving you a limited license to do only certain things with the Content on the Site (i.e. access, view).

USER CONTENT


RESPONSIBILITY OF USER CONTENT

We have no responsibility or liability for your User Content, or for any loss or damage your User Content may cause to other people. You are also responsible for maintaining copies of any of your User Content you post or store on the Site. We are not obligated to make use of your User content and we may also remove or modify your User Content at our absolute discretion at any time and for any reason.

WHAT THIS MEANS,

Your User Content is your responsibility.

APPROPRIATE USER CONTENT IN INTERACTIVE AREAS

The Site contains areas in which you or third parties may post content, messages, materials or other items (“Interactive Areas”). Interactive Areas may include, but not limited to User Profiles, Conference Event Profiles, the Chat Feature during Conference Events, the Question Feature during Conference Events, Forums, etc. You are solely responsible for your use of such Interactive Areas and use them at your own risk. User Content submitted to any area of the Site accessible to other Users will be considered non-confidential. By using any Interactive Areas, you expressly agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Site any of the following:
  1. Content that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd,suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive,inflammatory, fraudulent or otherwise objectionable;
  2. Content that would constitute, encourage or provide instructions for a criminal offense,violate the rights of any party, or that would otherwise create liability or violate any local,state, national or international law;
  3. Content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
  4. Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity;
  5. Unsolicited promotions, political campaigning, advertising or solicitations;
  6. Private information of any third party, including, without limitation, addresses, phone numbers, email addresses and credit card numbers, unless that third party has expressly consented to such use;
  7. Viruses, corrupted data or other harmful, disruptive or destructive files;
  8. Stalk or otherwise harass any person or entity;
  9. Attempt to probe, scan or test the vulnerability of any ConferenceCloud server or network or breach any security or authentication measures;
  10. Content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted; or
  11. Content that, in the sole judgment of ConferenceCloud, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Site, or which may expose ConferenceCloud or its affiliates or its Users to any harm or liability of any type.
ConferenceCloud reserves the right to remove any content that does not comply with these Terms without notice to Users.

WHAT THIS MEANS,

Your User Content must not be inappropriate.

NO SPAMMING ALLOWED

You also may not use the Interactive Areas or the Site generally to send commercial or other messages to any third-party or User if those messages are not solicited, authorized or welcomed by the third-party or User, or if those messages breach these Terms of the Site. Your use of the Site you must comply with all applicable laws, including laws that apply in any jurisdiction to spam and marketing practices, and with any applicable marketing association guidelines on ethical marketing practices.

WHAT THIS MEANS,

You cannot use the Interactive Areas to spam others.

CONSEQUENCES FOR NON-COMPLIANCE

Any use of the Interactive Areas or other portions of the Site in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Site.

WHAT THIS MEANS,

If you do not follow the rules relating to User Content, you can have your rights suspended.

CONFERENCE EVENT RULES

Conference Organizer must agree to the following with regards to Conference Events:
  1. Conference Events must not include inappropriate content, including but not limited to any content that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;
  2. Conference Events must not include content that may harm minors in any way;
  3. Conference Events must not contain content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, provincial, national or international law;
  4. Conference Events must not contain content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
  5. Conference Events must not contain content that impersonates any person or entity or otherwise misrepresents Conference Organizer’s affiliation with a person or entity;
  6. Conference Events must not contain content that includes unsolicited promotions, political campaigning, advertising or solicitations;
  7. Conference Events must not include private information of any third party, including, without limitation, addresses, phone numbers, email addresses and credit card numbers, unless that third party has expressly consented to such use;
  8. Conference Events must not contain Content that, in the sole judgment of ConferenceCloud, is objectionable or which may expose ConferenceCloud or its affiliates or its Users to any harm or liability of any type.

CONFERENCE EVENT PROFILE RULES

  1. Conference Organizer must ensure that information they provide in the Conference Event Profile is accurate so that users can make an informed decision as to whether or not they would like to view the Conference Event;
  2. Conference Organizer must ensure that all material information that a user will rely upon in deciding whether or not they would like to view in the Conference Event present in the Conference Event Profile;
  3. Conference Organizer must not disguise inappropriate content through misrepresentations or falsifying information in the Conference Event Profile;
  4. Conference Organizer must not make any false or inaccurate representations regarding the Conference Event in the Conference Event Profile;
  5. In the event that ConferenceCloud creates the Conference Event Profile on behalf of Conference Organizer, it is still Conference Organizer’s responsibility to ensure that items (i) – (iv) above are complied with.

REMOVAL OF CONTENT

If in ConferenceCloud’s sole discretion, the Conference Event Profile or Conference Event is in violation of the rules in Section 6.5 and 6.6 above, ConferenceCloud reserves the right to remove any offending content without notice to Conference Organizer.

LINKS, ETC.


LINKING TO THE SITE

You are granted a limited, non-exclusive right to create a text hyperlink to the Site for noncommercial purposes, provided such link does not portray ConferenceCloud or the CC Platform or the Site or any of its products or services in a false, misleading, derogatory or otherwise defamatory manner and provided further that the linking site does not contain any adult or illegal material or any material that is offensive, harassing or otherwise objectionable. This limited right may be revoked at any time. You may not use the ConferenceCloud or CC Platform logo or other proprietary graphic of ConferenceCloud or the CC Platform to link to the Site without the express written permission of ConferenceCloud. ConferenceCloud provides these links only as a convenience, and a link to a Third-Party Site or Third-Party Content does not imply ConferenceCloud’s endorsement, adoption or sponsorship of, or affiliation with, such Third-Party Site or Third-Party Content. ConferenceCloud accepts no responsibility for reviewing changes or updates to, or the quality, content, policies, nature or reliability of, Third-Party Content, Third-Party Sites, or Web sites linking to the Site. REPORTING INAPPROPRIATE THIRD PARTY CONTENT

Users may report inappropriate third-party content on the Site by emailing hello@conferencecloud.co or by using the Reporting Feature. Upon receipt of such a report, ConferenceCloud will evaluate the content in question and if in its sole discretion deems that such content should be removed, shall remove such content within approximately 10 business days.

While ConferenceCloud attempts to make your access to and use of the Site safe, ConferenceCloud does not represent or warrant that the Site or any Content are free of viruses or other harmful components.

ConferenceCloud makes no promises as to exactly what the Site, Content and Services can do for you. What is there is what you get.

AVAILABILITY OF THE SITE

You acknowledge that significant portions of the Site are reliant on Third Party service providers including but not limited to Amazon Web Services, ScaleEngine, Softlayer, RedisLabs, Slideshare, Firebase, Mandrill, Sendgrid, Mailchimp, Eventbrite, Slack, etc. Because of this, and other reasons, you acknowledge that there may be interruptions in service or events that are beyond our control. While ConferenceCloud has painstakingly selected the best-in-class third party service providers, and use reasonable efforts to keep the Site accessible, the Site may be unavailable from time to time for any reason including, without limitation, routine maintenance and failure of our third party service providers. You understand and acknowledge that due to circumstances both within and outside of our control Site access may be interrupted, suspended or terminated.

As well, ConferenceCloud retains the right at our sole discretion to deny service, or access to the Site to anyone or an account, at any time and for any reason.

WHAT THIS MEANS,

The Site may not always be available for you to use. There may be some downtime.

PAYMENT PROCESSING

You acknowledge that for Live Conference Events, payment is processed through the Conference Organizer’s payment provider. We have no control such payment provider, and make no representations or warranties regarding the security or quality of the Conference Organizer’s payment provider. You acknowledge that for On-Demand events, payment is processed through third party payment providers such as Stripe, Eventbrite, Paypal, etc.

WHAT THIS MEANS,

We count on others for payment processing.

TRANSMISSION OF INFORMATION

While we do us standard encryption protocols (SSL/HTTPS/WSS) for transmission of information, we do not control the security of the Internet or other networks you use to access the Site or communicate with us. As such, we can’t be, and are not responsible for, the security of information, including personal information and financial data (including credit card information) that you choose to communicate with ConferenceCloud and the Site while it is being transmitted. In addition, ConferenceCloud is not responsible for any data lost during transmission.

WHAT THIS MEANS,

ConferenceCloud is not responsible for keeping your information safe while you are transmitting it to us.

ACCURACY OF INFORMATION POSTED ON THE SITE

ConferenceCloud does not represent or warrant that any information obtained via the Site, including information about any Conference Organizer or Conference Event, is accurate, error free or that it is up to date. ConferenceCloud does not endorse, recommend, or guarantee any goods or services featured on the Site, and nothing will be considered an endorsement, recommendation, warranty or guarantee of the foregoing by ConferenceCloud. ConferenceCloud has no control over content submitted or posted by both Users and Conference Organizers, or the truth, accuracy, safety or legality of such information.

WHAT THIS MEANS,

ConferenceCloud cannot promise that any information posted on the Site is error-free.

LIMITATION OF LIABILITY & INDEMNITY


NO LIABILITY FOR CLAIMS

You waive and shall not assert any claims or allegations of any nature whatsoever against ConferenceCloud, its respective affiliates or subsidiaries, sponsors, contractors, advertisers, vendors or other partners, any of its successors or assigns, or any of their respective officers, directors, agents or employees (collectively, the “Released Parties”) arising out of or in any way relating to your use of the Site or the Content, including, without limitation, any claims or allegations relating to the alleged infringement of proprietary rights, alleged inaccuracy of Content, or allegations that any Released Party has or should indemnify, defend or hold harmless you or any third party from any claim or allegation arising from your use or other exploitation of the Site. You use the Site at your own risk.

WHAT THIS MEANS,

ConferenceCloud is not liable for any claims related to your use of the Site.

NO LIABILITY FOR DAMAGES

Without limitation of the foregoing, neither ConferenceCloud nor any other Released Party shall be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of the Site or the Content, including without limitation any damages caused by or resulting from your reliance on the Site or other information obtained from ConferenceCloud or any other Released Party or accessible via the Site, or that result from mistakes, errors, omissions, interruptions, deletion of files or email, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction or unauthorized access to ConferenceCloud or any other Released Party's records, programs or services.

WHAT THIS MEANS,

ConferenceCloud is not liable for damages of any kind.

MAXIMUM LIABILITY

In no event shall the aggregate liability of ConferenceCloud, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of the Site exceed any Fees paid by you for access to or use of the Site during the two months prior to the date of any claim.

WHAT THIS MEANS,

The maximum amount that ConferenceCloud is liable for is whatever Conference Event Fees were paid by you in the last 2 months prior to any claim.

INDEMNITY FOR USER’S USE OF THE SITE

You shall defend, indemnify and hold harmless ConferenceCloud and the other Released Parties from any loss, damages, liabilities, costs, expenses, claims and proceedings arising out of your use of the Site and from the use of the Site by any person to whom you give access to your User Account, including any claims made by any person that any of your User Content infringes the rights, including the intellectual property rights, of any third party.

WHAT THIS MEANS,

You must repay ConferenceCloud for any financial losses incurred by ConferenceCloud if such losses relate to your use of the Site.

COMMUNICATIONS


NOTICES

We may provide notices to you in the following ways:
  1. By email to the contact information you provided in your Registration Data;
  2. By posting a notice to you in the profile area of your User Account on the Site;
  3. By posting a notice elsewhere on the Site suitable for the notice. It is your responsibility to review the Site for notices.

WHAT THIS MEANS,

There are 3 ways in which we will try to notify you.

RECEIVING INFORMATION FROM CONFERENCECLOUD

ConferenceCloud may send you email information regarding administrative issues such as your User Account status, system messages, Site updates, notices related to privacy or security, etc. For other messages and information relating to the CC Platform, other than administrative messages, when you register for a User Account, you shall have the opportunity to opt-in to consent to receive these other types of information from us. In addition, at any point in time after you opt-in, you will have the opportunity to opt-out of receiving such messages.

WHAT THIS MEANS,

You will only receive administrative messages from us unless you opt-in

APPLICABLE LAW AND VENUE


GOVERNING LAW

The Site is controlled by ConferenceCloud and operated by it from its offices in Toronto, Ontario. You and ConferenceCloud both benefit from establishing a predictable legal environment in regard to the Site. Therefore, you and ConferenceCloud explicitly agree that all disputes, claims or other matters arising from or relating to your use of the Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

WHAT THIS MEANS,

All disputes and claims shall be governed in accordance with the laws of Ontario and Canada.

METHOD OF CONFLICT RESOLUTION

Except where prohibited by applicable law, any claim, dispute or controversy (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether preexisting, present or future) arising out of or relating to (a) these Terms; (b) the Site or Content; (c) oral or written statements, advertisements or promotions relating to these Terms or to the Site; or (d) the relationships that result from these Terms or the Site or Content (collectively, a “Claim”) will be referred to and determined by a sole arbitrator (to the exclusion of the courts). If you have a Claim, you should give written notice to arbitrate at the address specified below. If we have a Claim, we will give you notice to arbitrate at your address provided in your Registration Data. Arbitration will be conducted by one arbitrator pursuant to the commercial arbitration laws and rules in effect on the date of the notice in the Province of Ontario.

WHAT THIS MEANS,

Arbitration shall be the method of conflict resolution.

WAIVER OF FUTURE CLASS ACTION

Except where prohibited by applicable law, you waive any right you may have to commence or participate in any class action against ConferenceCloud related to any Claim and, where applicable, you also agree to opt out of any class proceedings against ConferenceCloud.

WHAT THIS MEANS,

You must waive any right to be part of any class action against ConferenceCloud.

IF ARBITRATION IS PROHIBITED

To the extent arbitration as described in the immediately preceding paragraph is prohibited by applicable law, you agree that all Claims will be heard and resolved in a court of competent subject matter jurisdiction located in Toronto, Ontario. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.

WHAT THIS MEANS,

If Arbitration is prohibited for some reason, conflicts shall be resolved at an appropriate court in Toronto, Ontario.

COMPLIANCE WITH LOCAL LAWS

If you choose to access the Site from locations other than Ontario, you will be responsible for compliance with all local laws of such other jurisdiction and you agree to indemnify ConferenceCloud and the other Released Parties for your failure to comply with any such laws.

WHAT THIS MEANS,

You must comply with local laws if you access the Site from locations other than Ontario.

MODIFCATION OF SITE AND ACCESS


MODIFICATION OF SITE

ConferenceCloud may modify any aspect of the Site or Content without any notice and in its sole discretion.

LIMITING YOUR ACCESS

ConferenceCloud may block or prevent your access to and use of all or any portion of the Site or Content without any notice and in its sole discretion.

TERMINATION OF AGREEMENT


HOW TO TERMINATE

You or ConferenceCloud may terminate these Terms and your use of the Site at any time. Termination occurs when you either stop using the Site, or ConferenceCloud notifies you of such Termination.

WHAT HAPPENS ON TERMINATION

Upon termination, the following happens:
  1. Any images or videos you have uploaded may remain on the Site.
  2. We may retain an archival copy of your User Content. You will grant us a non-exclusive, perpetual, irrevocable license to main such archival copy for our internal business purposes.
  3. All Terms will survive Termination of this Agreement.

UNSOLICITED IDEAS


UNSOLICITED IDEAS

Unsolicited Ideas includes, without limitation, ideas or suggestions relating to new or improved products, enhancements, names or technologies, advertising and marketing campaigns, plans or other promotions. Do not send us Unsolicited Ideas. Nobody at ConferenceCloud will accept or consider, directly or indirectly any Unsolicited Ideas. We have no obligation to review any Unsolicited Ideas nor do we have any obligation to keep any Unsolicited Ideas confidential. If you do send us any Unsolicited Ideas, ConferenceCloud will automatically own such ideas without restriction and we will not acknowledge or compensate you. If you wish to preserve any interest you might have in your User Submissions, you should not post them to the Site or send them to us

WHAT THIS MEANS,

Do not send ConferenceCloud unsolicited materials or ideas. If you do, we do not have to acknowledge or compensate you.

ELECTRONIC CONTRACTING AND NOTICE


ELECTRONIC SIGNATURE

Your affirmative act of using this Site and/or registering for the Site constitutes your electronic signature to the Terms of Service and your consent to enter into agreements with us electronically

WHAT THIS MEANS,

Using the Site means signing electronically.

MISCELLANEOUS



SEVERABILITY

If any part of these Terms is considered invalid for whatever reason, the remaining parts of these Term will still be considered valid and enforceable.

ASSIGNMENT

User may not assign or transfer any or all of their rights without prior written consent of ConferenceCloud. ConferenceCloud may assign any or all of its rights hereunder to any party without your consent.

ENUREMENT

These Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

ENTIRE AGREEMENT

These Terms, and the Privacy Policy expressly incorporated within, represents the entire Agreement between the Parties, and overrules any previous communications, understandings, etc.

TERMS IN ENGLISH LANGUAGE

The parties confirm that it is their wish that these Terms, as well as any other documents relating to this Terms, including notices, have been and shall be drawn up in the English language only.
